With the six members of B.A.P having filed a lawsuit against its agency to nullify their contracts, TS Entertainment released an official statement.
On December 5, TS Entertainment sent out a press release to explain the suspicion on unfair conditions and profit distribution in the contract.
The agency started, “In October, the members stated through their manager that they would like to take a break. Respecting that opinion, we canceled all schedules including the South America tour and Japan tour and gave the members a long vacation,” and added, “The members then took the time to recharge themselves and continued to be in contact with the company.”
The agency continued, “Recently, we confirmed their willingness to resume activities with the award ceremonies taking place in January and started making plans for next year’s schedules, but on November 27 we suddenly heard news regarding the lawsuit through the press. The employees at the company were in contact with the members, sharing details of their daily live activities, until the afternoon of November 26, which is when the petition was accepted so the news regarding the lawsuit that came out on November 27 was very shocking to the company.”
TS Entertainment Believes There are Forces Behind B.A.P′s Lawsuit
The agency explained, “We immediately tried to contact the members through their manager but couldn’t get in touch with them. We tried to talk on the phone with the members’ parents and some of the parents’ members confirmed the fact that the petition has been accepted and requested that we ‘talk to the lawyers.’”
“We became suspicious of the fact that one-sided reports were constantly being released by a small number of media outlets even before the petition went through. This situation seemed more serious because we just exceeded break-even point as we entered 2014 and B.A.P was about to generate steep profits. And finally, we received trustworthy reports claiming that there is a force that has been fostering public opinion through the media in order to worsen the contractual relationship between B.A.P and the company and to recruit B.A.P on their favorable terms,” revealed TS Entertainment.
The agency emphasized, “From now, the company will thoroughly apprehend the existence of the forces behind to take strong action and after confirmation, we will be strictly holding them accountable for their actions that violated the ethics of this industry and furthermore lowered the status of K-Pop.”
On November 26, B.A.P filed a lawsuit against TS Entertainment to nullify its contract. The members reportedly claimed that the contract with the company is unfair and since the profits have not been distributed properly, the agency needs to return 300 million won out of its unfair profits.


Hello this is TS Entertainment.


First of all, we are deeply sorry to all those who have been supporting us with love.

TS Entertainment was made in 2008, and for last 7 years we have created artists such as Untouchable, Secret, B.A.P and etc., and we also have a rookie group in ready for launching soon. As K-POP took its place in the global culture, we had a goal of strengthening the artists’ capabilities and introducing them to the world.


B.A.P was the very first grand boy group and for that the investment and the amount of effort put into them was enormous and it was not any less compared to any other companies. Thankfully, because of the hard working talented six members of B.A.P who worked in harmony, B.A.P was able to become a distinguished K-POP stars who even completed two world tours.


While still working together with the company, we received a message from the members last October from their manager leader that they wanted to take a rest. The company respected that decision and so we canceled events such as the South American tour, Japan tour and etc., and gave the members a long period of time to rest. Therefore, the members went to their dorm and back to their home, and vacation out to other countries and re-energized while still continuously contacting the company. And recently, they have confirmed that they will comeback in January and were planning for next year’s plans but suddenly on November 27th, we received a surprise lawsuit information through the news article from the mass media.


The day that the petition was submitted, November 26th, the staffs were still casually speaking with the members so the lawsuit article on the 27th was a big shock. The company tried to contact the members through their managers right away but could not reach them. Following that, we have tried contacting member’s parents and from few of the parents whom we were able to reach, just confirmed the lawsuit and told us to “talk to the lawyer”. So the company decided to wait till the lawsuit case to arrive to analyze this situation.


However,even before the company received the lawsuit, some of the media outlets kept on spreading one-sided point of view reports and made us question. Entering 2014, B.A.P who were past the point of evenly distributing profits, everything made things more serious. And finally, we have received these mysterious informations that there was a group of malicious third-party publicities that tried to make this situation more favorable to B.A.P by making the contract between the company and B.A.P sound worse.


So the company will find the group of publicities and take a critical action towards them and we will ask for the responsibility of them for violating the business of the company and for degrading the status of K-POP.


Truthfully, the company still did not officially receive the lawsuit. It turned out that it was because the law firm who have prepared the suing made some errors and mistakes so the “revision order” was sent by the court. We would like to say few things regarding some of the most controversy informations from the medias to state our official statement after thoroughly reviewing the lawsuit report although the company did not receive the information yet.


Point 1) 3 years = 100 million income, 1,780 thousand won per person.


TS -> Reached the point of equally distributing income in two years. Predicted for the incomes in 2014 to be total of 200 million 80 thousand and 5 hundred won. If the schedules were followed normally then the estimated total price of the year: 600 million.



The investment towards B.A.P started back when they were trainees, and the large amount of investment began in the second half of 2011 when the leader Bang Yongguk’s solo “I remember” and Bang&Zelo’s Unit “Never Give Up” ‘s albums were produced. As you can see in the chart above, there was a lot more money spent in expenses than income up until 2013. It is because the company chose to invest over earning to focus on the combined dream of both B.A.P and the company’s “taking over the world with music”. Thanks to this risky investment, B.A.P was able to take a place in the modern K-POP world as an artist, and just after two years since debut in 2014, they became beneficial and accomplished the progress that is worthy of attention in the entertainment world.


As you can see on the chart, the starting point after evenly diving the income the gap between the income and the fees greatly differed and B.A.P created an increasing profit. Right now, if you just look at the second half of 2014 (July to December), if we successfully performed the South American tour, Japan tour and the Chinese events, we were expecting a total of 600 million balanced payment. Unfortunately, because of the cancellations of the events,the total estimation of second half of 2014 is calculated to be about 200 million 80 thousand 5 hundred won.


And in 2015, depending on B.A.P’s activity levels, we are estimating 1.8 million won, 15 times more than the amount of first balanced payment.


Point 2) the ratio for distribution of the profit 1 (B.A.P) : 9 (TS)? TS -> according to the contract the ratio of distribution of profit is estimated to be 4 (B.A.P) : 6 (TS).


The company will explain the calculation of the “the spiltion of the profit”. Following the agreement of the contact, the company calculates the finance every 6 months. The method is to first, deduct any investment that went into B.A.P from all the sales that are related to B.A.P. And then with the leftover profit, it separates according to the sales category and then divides it between the artist according to the ratio.It is not deducting the fee from each category, the reason the fees have to be deducted first is because it is difficult to deduct individually from the dorm, transportation, food, education, training, cultural activities, exercise, massage, hospital bills, T-money and etc.


Unlike the concert/advertisement/events (5:5), the reason album/music/MD (1:9) is different is because the expenses are much less, and when we are using a third-party company, the fee is split between us and while the company has to personally pay the the professional staffs in the company, (contents director/ design/ producing, movie, MD producing/ making/ sales, fan marketing and etc.) without splitting the fee with the artists.


The income split for B.A.P first half of 2014 was calculated to be low because most of the profit that came from albums and music to secure the popularity when they first debuts. After this. thanks to everyone’s hard working effort, we were able to successfully complete two world tour and was able to proudly settle down as K-POP artists as the profit ratio was changing. This result was intended from both the members and the company, and it was to achieve the outcome of the level of contribution of the artists. Henceforth, it was evaluated that the concerts, events, and the advertisements were to be added on to the ratio of profit of 4 (B.A.P) : 6 (TS).


Point 3) Slavery Contract

TS -> Same as the Fair Trade Committee’s “standard contract” + materialization

The information of the “slavery contract” was brought up as a reference because of one media followed the rules of the Fair Trade Committee’s “standard contract” and includes the informations that shaped it.

Also, about the “contract duration”, if you look at the Fair Trade Committee’s “standard contract“‘s ‘contract duration’, the average time is 7 years and the extra extension of the duration of the contract is qualified if there is a reasonable reasons such as “extended overseas promotions with a foreign management company for a long-term promotion in the overseas” and etc., if both parties agree to it.


The company made the duration of the contract to be “7 years from the start of the album (the digital albums and full albums produced as a solo and as a group) etc.”. Each members concluded the contract in the 3rd of the November in 2011 and every member has a different duration of the contract since the leader Bang Yongguk and Zelo started a solo unit before B.A.P.

Point 4) The issue of trust


TS -> The problem of communication

Last July, after the payment was over, the B.A.P members carried on the schedule normally like always without any objections. However, suddenly in middle of September and so forth, they showed an unexpected acts such as disappearing and canceling the schedule to go on a variety shows that were promised. Even so, the company apologized to all the associates of the broadcasting companies to try to protect the members.

The company also tried to resolve an emotional problems that the members were dealing with from the managers and the staffs by talking and paying more close attention, and the members told us that they wanted to ‘rest’ so respecting their decision, we concluded it on an agreement to “minimize the official schedules” on October 23rd, and took an action so that the members could get plenty of rest till the end of the year by canceling the South American tour and the Japan tour.

After that, the B.A.P members have still continuously communicated with the staffs and lived on their dorms, visited the hospitals, ate together and etc. without showing any sort of dissatisfaction, the company believed that the members could relax and were preparing for the next promotion. And as stated before, we have received that they were planning to start promoting again starting January and while preparing for the next year’s plan, we have cam across this surprising news.

This is the end of our official response to the primary points, and the company will definitely prove all of the truth by honestly handing in all of the files to the court. The definite fact is that TS Entertainment did not violate any laws and did not mistreat B.A.P in any way.

TS Entertainment’s motto is “Honesty, faithfulness, and modesty”. Perhaps the fact that we tried our best to provide a warm, safe and comfortable environment for the talented members have been interpreted wrongly. If we were unable to understand member’s feelings that were hurt, this too was probably trial and error of the company’s inexperienced workers.


Lastly, TS Entertainment would like to say that we hope B.A.P, even now, will be honest and truthful to what they want and come back to the dream that we had together at their debut. However, if the members still block off the communications despite our attempts and only want to solve this through a lawsuit, the company will also respect members’ opinions and find a definite resolution from the court.

TS must be getting advice on how to handle this whole thing from SM, since SM has more than enough experience with artists suing to get away from them.
I'm glad Daehyun's teacher is upset enough about this to be publicly coming forward with their own statements, and I'm glad that BAP has a good support system. I do wonder what will happen to TS as a company if BAP manages to leave. That's a loooooot of income they'd be losing.

I reckon TS' PR team need a raise because this is a hella good statement. I'm plain old naive and trusting (and not a BAP fan) and I read it and I went, "Wow TS are just trying their best."

Regardless I hope BAP stay together and sign to a company that'll treat them right. They're way talented. Also Daehyun's teacher has it right regarding fans and them putting money together. That voice teacher has his head screwed on right, I'm glad he's speaking up for the boys.

What I don't understand is why they would keep investing when they weren't making any money. If all that is happening is that you're racking up more and more debt, why aren't you cutting costs to offset that debt?

B.A.P is being incredibly patient with the company right now. They don't want money from the company, they just want to see the paperwork to confirm whether or not the company is being truthful. If TS has nothing to hide, why won't they just show it?

This honestly sounds like the same statement SM gave when Luhan sued them lmao.

Honestly, I had expect them to give a bullshit response and they did, and I'm still mad. The fact that they had the nerve to blame BAP for this, for the fact that they couldn't complete their schedules because they were too ill and tired from being overworked. They're painting BAP as spoiled, bratty children and they think BAP will want to talk this over before going to court? There's so many things in their statement that go against what BAP, Hak Ssem, and Dispatch have said and they even avoid the main issues of why BAP is suing them in the first place. They never address the hospital visits - how daehyun (and I think himchan too) was pulled out of the hospital and basically emotionally blackmailed into performing.

What are all of these expenses? How is TS able to debut Sonamoo when all they essentially earn is expenses? They give detail about the shit they spend money on and say that it contributes to their income being so low. TS said they spent a lot on promotions in Korea but like??? BAP barely promoted in Korea this year (hardly at all, tbh) so how about you not spend shitloads of money on pointless extras since it makes it harder to break even? Or, idk, promote BAP more in Korea (which is what they want!!) and promote them properly?

And what is this third party? Is it really so hard to believe that your actions would drive a group of people to sue you?

I'm still cackling at TS taking a week to respond with this bullshit and then BAP's team responds 5 hours later, calling them out - saying they're avoiding the big issues. And that they're planning on taking legal action against TS for defamation of character (for saying there's a third party). But god bless Hak Ssem, its really nice to see someone call out TS on their shit and fight for BAP's side.

Oh, and now BAP's team is saying that when their parents went to meet with the CEO, he was drunk and refused to let them see the account papers, saying "Why should i reveal these secrets? I'm not BAP's agent". (this is from here a tenasia article from this morning, sorry i can't link properly)

Then, they revealed that TS essentially said Yongguk would do Laws of the Jungle, but Yongguk (who was going to the hospital for treatments) said that he was unfit to do it and that if he did, he could ruin the image of BAP, so he persuaded TS to pull him out. And those South American concerts? TS scheduled those without BAP's knowledge, and told their staff to keep it a secret from them, only for them to find out about it TWO WEEKS before this tour was supposed to take place.

"one member was taken to the hospital due to exhaustion but staff came and tried to take him to his scheduled event, but the doctor even said that taking him could cause more health problems later, but they took him to the event anyways."

TS has done nothing that BAP has asked them to do so essentially these boys have lost their trust with their company. They even said, that they don't care if they earn $0, they just want to see the papers to see if their company has been truthful or not.

(sorry i have a lot of thoughts about this bc they're my group and my faves and i want them to win this lawsuit)

i'm so amazed at bap's teamwork, they are so united in terms of making decisions, and they even waited for zelo to turn legal (I'm actually the same age as zelo so I really feel for their decision)

but anyway, I think bap stans can rejoice from the fact that bap chose to stay together to sue ts because you don't have to pick sides and the evidences they presented flow really well.

I've followed other bands and honestly it hurts and it confuses me when some choose to stay and some leave. You're just torn between who to support. Whatever happened to staying together? Fandoms fight because they side different people.

I really hope BAP wins this lawsuit. Their evidence is really strong and they're only looking for clarification, and there isn't any slight evidence of greed whatsoever.
